ITEM 4.01     Changes in Registrants’ Certifying Accountant

 

 

On December 20, 2011, First Farmers and Merchants Corporation (the "Registrant") formally notified KRAFT CPAs PLLC (“Kraft”) that Kraft would not be retained as the Registrant’s independent registered public accounting firm for the fiscal year ending December 31, 2012.  However, Kraft was engaged to audit the Registrant’s consolidated financial statements for the fiscal year ended December 31, 2011, and, in fact, issued their audit opinion on the Registrant’s consolidated financial statements on March 5, 2012.

 

Kraft's reports on the Registrant's financial statements for the fiscal years ended December 31, 2011 and 2010 did not contain an adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principles.  During the Registrant's two most recent fiscal year ends (the fiscal years ended December 31, 2011 and 2010) and through March 5, 2012, there were no disagreements with Kraft on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Kraft, would have caused Kraft to make reference to the subject matter of the disagreements in their reports on the financial statements for such years. Kraft has provided the Registrant with a copy of Kraft’s letter addressed to the Securities and Exchange Commission stating that Kraft agrees with the disclosures made by the Registrant in response to Item 304(a) of Regulation S-K.  A copy of Kraft's letter is filed as Exhibit 16.0 and incorporated in this Item 4.01 by reference.
