Item 5.02.  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On November 10, 2006, Matthias Heinze resigned as a member of the Board of Directors of ZAP. Mr. Heinze left for personal reasons and had no disputes with ZAP.
