Item 8.01  Other Events

 

On April 10, 2006, the Company entered into a Share Purchase Agreement providing for the sale of Carlisle Process Systems to Tetra Pak, a division of the Tetra Laval Group, a private industrial group headquartered in Switzerland.  The sale is subject to regulatory approvals as well as other customary closing conditions and is expected to close before December 31, 2006.  The intended sale is pursuant to the Company’s previously announced plan to exit the businesses conducted by Carlisle Process Systems, and is consistent with the Company’s commitment to allocate resources to those businesses in which it can create sustainable competitive advantage.  A copy of the press release is attached hereto as Exhibit 99.1.
