PART III — NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Streamline Health Solutions, Inc. (the “Company”) recently became an “accelerated filer” for the first time.  Accordingly, the prescribed due date for the Company’s Annual Report on Form 10-K for the fiscal year ended January 31, 2014 was shortened from 90 days to 75 days following the fiscal year end.  In addition, as an “accelerated filer,” the Company is required to provide an audit of its internal control over financial reporting in the Form 10-K for the first time pursuant to Section 404 of the Sarbanes-Oxley Act of 2002.  Further, as previously reported by the Company in a Form 8-K filed on April 26, 2013, the Company engaged a new independent registered public accounting firm, effective May 1, 2013.  The financial statements to be included in the Form 10-K are being audited for the first time by the new independent registered public accounting firm. 

 

For the reasons described above, the Company is unable to file the Form 10-K within the prescribed time period without unreasonable effort or expense.  The Company expects to file the Form 10-K on or before May 1, 2014, which is the fifteenth calendar day following the prescribed due date.
