Item 1.01. Entry into a Material Definitive Agreement

 

On December 16, 2015, Target Corporation (“Target”) entered into a Pharmacy Operating Agreement (“POC”) with CVS Pharmacy, Inc. (“CVS”) in connection with closing the transactions contemplated by the Asset Purchase Agreement (“APA”) between Target and CVS dated June 12, 2015, pursuant to which Target sold its pharmacy and clinic businesses to CVS.  The material terms of the APA and POC are described in Target’s Form 8-K filed on June 15, 2015.
