Item 5.08.  Shareholder Director Nominations.

 

Laureate Education, Inc.’s (the “Company”) Board of Directors has determined that the Company’s first annual meeting of stockholders (the “Annual Meeting”) will be held on Wednesday, May 23, 2018, at 10:00 a.m., Eastern Daylight Time at the AMA New York Executive Conference Center, located at 1601 Broadway, New York, New York 10019. The Board has established the close of business on March 28, 2018 as the record date for the determination of stockholders who are entitled to notice of, and to vote at, the Annual Meeting and any adjournments or postponements thereof.

 

If any stockholder of the Company intends to nominate a person for election to the Board of Directors or to propose other business for consideration at the Annual Meeting, including any proposal made pursuant to Rule 14a-8 under the Securities Exchange Act of 1934, as amended, the deadline for submitting notice of such nomination or proposal is the close of business on March 19, 2018. Any notice should be delivered to the Company at 650 South Exeter Street, Baltimore, Maryland 21202, Attention: Corporate Secretary.  Any nomination or proposal must comply with Delaware law, the rules and regulations of the Securities and Exchange Commission and the Company’s Amended and Restated Bylaws, as applicable.
