On May 27, 2009, Guy Nissenson,
President and Chief Executive Officer of Xfone, Inc. (the
"Registrant"), issued a letter to the Registrant’s shareholders in press
release form discussing progress during the first quarter of 2009 and outlining
its strategy for the future. A copy of the letter is attached hereto
as Exhibit 99.1 and is incorporated herein by reference.
