Item 7.01. Regulation FD Disclosure. As previously disclosed, on January 14, 2009, Gottschalks Inc. (the "Company") filed a voluntary petition (the
"Chapter 11 Petition") for relief under Chapter 11 of the United States Bankruptcy Code (the "Bankruptcy Code") in the
United States Bankruptcy Court for the District of Delaware (the "Bankruptcy Court") (administered under Case No. 09-10157). The
Company currently manages its properties and operates its business as a "debtor-in-possession" under the jurisdiction of the
Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code. On June 26, 2009, the Company filed with the Bankruptcy Court its monthly operating report for the period April 5, 2009
to May 2, 2009 (the "April Monthly Operating Report"). The April Monthly Operating Report is attached hereto as Exhibit 99.1 and is incorporated herein in by reference. This
current report (including the exhibit hereto) will not be deemed an admission as to the materiality of any information required to be disclosed
solely by Regulation FD. A complete copy of the April Monthly Operating Report is also publicly available on the Internet and may be accessed
at http://pacer.psc.uscourts.gov or www.kccllc.net/gottschalks. Cautionary Statement Regarding April Monthly Operating Report The Company cautions investors and potential investors not to place undue reliance upon the information contained in
