Item 7.01   Regulation FD Disclosure

On March 9, 2009, Neuralstem, Inc. (“Company”) issued a press release announcing that a paper published on the online edition of the Journal of Comparative Neurology reported that human stem cells developed by the Company had made synaptic contact with the motor neurons of rats with Amyotrophic Lateral Sclerosis (“ALS”) like symptoms.    A copy of the press release is attached to this report as Exhibit 99.1.
