Item 8.01 Other Events.

On October 11, 2010, Generex Biotechnology Corporation (the “Company”) issued a press release to announce that it plans to initiate a rights offering of common stock and warrants to its existing stockholders in the event that the Company’s stockholders approve a reverse stock split at the reconvened special meeting of stockholders scheduled for 10 a.m. local time on Friday, October 15, 2010.  A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
