Item 8.01     Other Events.

On June 27, 2008, Cheniere Energy, Inc. (the “Company”) issued a press release announcing that its marketing subsidiary, Cheniere Marketing, Inc., has entered into a domestic marketing agreement for the sale of liquefied natural gas, or LNG, with J.P. Morgan Ventures Energy Corporation, a wholly owned subsidiary of JPMorgan Chase & Co.  The press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein in its entirety.
