8.01 Other
Events.
On October
21, 2008, the Registrant’s wholly-owned subsidiary, Marlin Business Bank, filed
an application with the Utah Department of Financial Institutions to convert its
charter from an Industrial Bank to a state chartered Commercial
Bank. As part of the charter conversion process, Marlin Business Bank
intends to file an application for membership in the Federal Reserve System, and
the Registrant intends to file an application with the Federal Reserve to become
a bank holding company under the Bank Holding Company Act of 1956, as
amended.
