Item 8.01 Other Events.

On May 22, 2006, as part of a previously-announced share repurchase program, the Registrant entered into a trading plan with Cantor Fitzgerald pursuant to Rules 10b5-1 and 10b-18 of the Securities Exchange Act of 1934, as amended, which provides for pre-determined repurchases of the Registrant’s common stock, subject to the terms of the plan, for the period beginning May 23, 2006 through August 4, 2006, unless earlier terminated.
