Item 1.02 Termination of a Material Definitive Agreement.
In conjunction with the resignation described below, the Amended and Restated Employment and Non-Compete Agreement dated February 13, 2006 between Dover Motorsports, Inc. (the Company) and Jerome T. Miraglia will terminate on June 30, 2006.
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Jerome T. Miraglia, Executive Vice President of the Company, tendered his resignation on June 19, 2006 to be effective June 30, 2006. Mr. Miraglia is leaving to assume the position of President and Chief Executive Officer of Labrador Mobile, a Virginia-based provider of mobile wireless content. No replacement has been announced.
