  (d) On May 17, 2007, the Board of Directors of Transmeridian Exploration Incorporated (the “Company”) elected Mr. Wolfgang Rupf to the Company’s Board of Directors. On such date, pursuant to the Company’s director compensation arrangements, Mr. Rupf and each of the other members of the Company’s Board of Directors received 20,000 restricted shares of the Company’s common stock. Mr. Rupf will serve on the Nominating & Governance Committee of the Board of Directors.
