On January 30, 2008, the stockholders of Hewitt Associates, Inc. approved an Amended and Restated Global Stock and Incentive Compensation Plan. The amendments to the plan make an additional seven million shares available for issuance, extend the time incentive stock options may be granted under the plan until January 30, 2018 and make certain changes designed to ensure compliance with Section 409A of the Internal Revenue Code. A copy of the Amended and Restated Global Stock and Incentive Compensation Plan is attached hereto as Exhibit 99.1.
