Item 8.01. Other Events.

The current market and economic environment have made this a challenging time for the financial services industry. SEI is addressing this by taking a number of actions to reduce expenses across the organization by approximately 5-10 percent of the Company’s 2008 fiscal year expenses. Included in these actions are direct expense reductions, elimination of non-strategic activities, process improvements as well as a reduction in the Company’s global workforce.

As always, SEI is committed to delivering world-class solutions to its clients and value to its shareholders. The Company will continue to leverage the ingenuity, entrepreneurship, and organizational knowledge of its world class workforce and work to help its clients achieve their long-term success.
