The 1999 EIP has been terminated, no further stock awards will be made under the 1999 EIP and the Available Reserve, plus any shares underlying Outstanding Awards that expire or are forfeited, have been allocated to the 2009 EIP. |

The Company is incorporated under the laws of Delaware. Under Section 145 of the Delaware General Corporation Law, the Company has broad powers to indemnify its directors and officers against liabilities they may incur in such capacities, including liabilities under the Securities Act. The indemnity may include expenses (including attorneys fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with such liability, provided that such person acted in good faith and in a manner the person reasonably believed to be in or not opposed to the best interests of the Company, and, with respect to any criminal action, suit or proceeding, such person had no reasonable cause to believe the persons conduct was unlawful.
As permitted by the Delaware General Corporation Law, the Companys Certificate of Incorporation provides that its directors shall not be liable to the Company or its stockholders for monetary damages for breach of fiduciary duty as a director to the fullest extent permitted by the Delaware General Corporation Law. The Companys Certificate of Incorporation further provides that each person who was or is a party or is threatened to be made a party to, or is involved in any threatened, pending or competed action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that such person is or was a director or officer of the Company shall be indemnified and held harmless by the Company to the fullest extent permitted by the Delaware General Corporation Law. Finally, the Companys Certificate of Incorporation empowers the Companys directors to provide indemnification to such of the officers, employees and agents of the Company to such extent and to such effect as the Companys Board of Directors shall determine to be appropriate and authorized by Delaware General Corporation Law.

The Company has entered into indemnification agreements with each of its directors and officers. Such indemnification agreements provide that the Company shall indemnify, and shall advance expenses to, each such indemnified person to the fullest extent permitted by law.
