On October 2, 2009, certain subsidiaries of Strategic Hotels & Resorts, Inc. (the “Company”), entered into a purchase and sale agreement (the “Agreement”) with Ruwoja Investments B.V. (the “Buyer”) pursuant to which the Company will sell the hotel commonly known as the Four Seasons Mexico City to the Buyer for approximately $54.0 million. The sale, subject to certain closing contingencies, is scheduled to close in the fourth quarter. A copy of the press release announcing the Agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
