Item 2.02 Results of Operations and Financial Condition.
On January 28, 2010 the Registrant issued a press release and held a conference call with analysts to report on the results of operations for the fiscal fourth quarter and year ended November 30, 2009.
Furnished with this Form 8-K as Exhibit 99.1 is a copy of the press release labeled “McCormick Announces Record Profit and Cash Flow for Fiscal Year 2009” which includes an unaudited Consolidated Income Statement for the three and twelve month periods ended November 30, 2009, an unaudited Consolidated Balance Sheet of the Registrant as of November 30, 2009, and an unaudited Consolidated Cash Flow Statement for the twelve months ended November 30, 2009.
