ITEM 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(a) On April 15, 2010, Admiral Edmund P. Giambastiani, Jr., U.S. Navy (Ret) notified SRA International, Inc. (the “Company”) that he will resign from the Board of Directors of the Company, effective July 28, 2010, for personal reasons and to devote more time to his various business interests. Admiral Giambastiani currently serves on the Compensation & Personnel Committee. Admiral Giambastiani’s resignation was not the result of any disagreement between the Company and Admiral Giambastiani on any matter relating to the Company’s operations, policies or practices.
