Dear Colleagues:

By now, you’ve likely seen the news that Exelon has agreed to merge with Constellation Energy Group. This is an exciting development for Exelon; it provides real value to our shareholders while offering an expanded platform for future growth for our company. But it also represents significant change for all of us – after closing, we will be relocating our wholesale and retail marketing headquarters to Baltimore and combining Power Team with Constellation’s wholesale and retail marketing group under the Constellation Energy brand. I am confident that this combination will create what is undoubtedly the nation’s premier energy marketing company.

I’m sure you are wondering why Baltimore and why the Constellation brand. The decision to move our team to Baltimore is the result of a combination of factors. As many as 2,000 Constellation employees involved in their marketing and trading business are located in Baltimore, and an important factor in closing this merger will be obtaining regulatory approvals in Maryland. That requires showing a significant commitment to the state as well as to the city of Baltimore. We will be using the Constellation name because they have spent significant time and money to build a real national retail presence, and we want to leverage the positive awareness and reputation of that brand. I know that these changes create much uncertainty and challenge, but I also see this as a real opportunity for us to evolve into what we are already working toward, just at an accelerated pace.

More information will be shared on a regular basis, but at the forefront of this transition, I want to assure you of a few things we do know for certain:

 

   

The transition will take time – Exelon does not expect to close on this merger until the first quarter of 2012, and after that, it will take additional time to fully accomplish our move to Baltimore.

 

   

We’re committed to providing stability for you – we’ll be sharing the details of retention agreements shortly, which will be offered to all Power Team employees as well as to embedded BSC employees.

 

   

We need to stay focused on our results – though any transition can be distracting if we let it, we need to remain focused on our goals and our performance. What each of you do every day will continue to define our success.

We will be working through these and other critical details in coming months, and I commit to keeping you informed throughout that process.
