On April 28, 2011, Mark P. Huston, Constellation Energy’s managing director of Retail Energy sent the following email to Retail Energy employees relating to the proposed merger with Exelon Corporation.


Retail Energy Colleague,

This morning we announced the exciting news that Constellation Energy will merge with Exelon, creating the nation’s leading competitive energy provider and largest competitive power generator. As Mayo indicated in his email, this is an exciting moment in the history of Constellation and a great opportunity for our customers, employees, shareholders, and communities.

A major factor in Exelon’s decision to pursue a merger with Constellation Energy was our well developed, national retail & wholesale business and the strong trusted relationships we have with our customers. I am proud of the work and dedication by each of you to build our widely recognized brand that will be a foundation for growth for the combined company well into the future.

Thanks to the leadership, innovation and excellence of the Constellation retail team, the future company will continue to go to market with retail offerings under the Constellation Energy brand and through our local offices located throughout the country.

Throughout today, there will be town hall meetings, webcasts and conference calls to convey the details of the merger, the vision for the future and address your questions and concerns. The merger is expected to close in the first quarter of 2012. Until that time, Constellation and Exelon are still two distinct companies with competitive business units.

Right now, we all need to remain focused on supporting Constellation’s customers and achieving our business plan. We are on a mission to be the best in class across the industry and consistently WOW our customers and teammates with exceptional service.
