EXPLANATORY STATEMENT

This Registration Statement on Form S-8 (this “Registration Statement”) is filed by Moody’s Corporation, a Delaware corporation (the “Company” or the “Registrant”), in order to register 15,000,000 additional shares of its Common Stock, par value $0.01 per share (the “Common Stock”), for issuance pursuant to the Amended and Restated 2001 Moody’s Corporation Key Employees’ Stock Incentive Plan (the “Plan”). This Plan was described in the Company’s definitive Proxy Statement for its 2013 Annual Meeting of Stockholders and was approved at this meeting on April 16, 2013. In accordance with General Instruction E to Form S-8, the Company hereby incorporates herein by reference the original Form S-8 filed by the Company with respect to the Plan on February 27, 2003 (Commission File No. 333-103496) and the additional Forms S-8 filed by the Company with respect to the Plan on July 13, 2005 (Commission File No. 333-126564), August 3, 2007 (Commission File No. 333-145127) and November 19, 2010 (Commission File No. 333-170753) with the Securities and Exchange Commission (the “Commission”), together with all exhibits filed therewith or incorporated therein by reference.
