As previously disclosed, on April 21, 2018 CenterPoint Energy, Inc. (the Company) entered into an Agreement and Plan of Merger (the Merger Agreement), by and among the Company, Vectren Corporation, an Indiana corporation (Vectren), and Pacer Merger Sub, Inc., an Indiana corporation and wholly-owned subsidiary of the Company (Merger Sub). Pursuant to the Merger Agreement, on and subject to the terms and conditions set forth therein, Merger Sub will merge with and into Vectren (the Merger), with Vectren continuing as the surviving corporation in the Merger and becoming a wholly-owned subsidiary of the Company.
Shareholders of Vectren today approved the Merger during a special shareholders meeting held to conduct a vote on matters relating to the proposed merger. The proposal to approve the Merger was supported by 61.6 percent of Vectrens outstanding common shares entitled to vote, or more than 95 percent of the shares voted.
Final consummation of the Merger is subject to various conditions, including approvals, clearances or orders from various regulators. Clearance under the Hart-Scott-Rodino Act and approval of the Federal Communications Commission for the transfer of control of radio licenses held by the Companys subsidiaries have already been received. Informational proceedings with regulators in Indiana and Ohio have been initiated, and the Indiana Regulatory Commission has set a schedule for the review of information voluntarily submitted by Vectren and the Company related to the Merger, currently set forth a hearing on October 17, 2018. A hearing before the Public Utilities Commission of Ohio is not expected. A filing has also been made with the Federal Energy Regulatory Commission regarding the Merger. That filing is still pending and no parties have intervened in the proceeding.
Subject to receipt of remaining approvals, the Company continues to anticipate that the closing of the Merger will occur in the first quarter of 2019.
