(1) No shares were sold - these shares were withheld by the Issuer to satisfy tax withholding requirements in connection with the vesting of 235,826 restricted stock units granted to the Reporting Person on 3/1/17 as a result of the company's achievement of certain performance criteria for 2015/2016 (the award was originally allocated to the reporting person as performance-based restricted stock units).
(2) No shares were sold - these shares were withheld by the Issuer to satisfy tax withholding requirements in connection with the vesting of 46,668 restricted stock units granted to the Reporting Person on 3/1/17 as a result of the company's achievement of certain performance criteria for 2015/2016 (the award was originally allocated to the reporting person as performance-based restricted stock units).
(3) Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.
