(1) | This is a Restricted Stock Grant for which no consideration was paid. The reporting person will be required to hold the shares until separation of service from the Company and upon separation will only receive vested shares. Normal vesting is 30% after year three and 10% per year in years four through ten, with some special provisions (e.g. retirement, termination for cause). Additionally, the reporting person has no control over the shares unless and until they are actually awarded. |
