Item 8.01 Other Events.

On Friday, October 13, 2006, The Andersons, Inc. (Nasdaq: ANDE) and Marathon Oil Corporation (NYSE: MRO), through a wholly- owned subsidiary, issued a press release announcing that the companies have signed a definitive agreement forming a 50/50 joint venture, which will construct one or more ethanol plants. The joint venture will operate under the name The Andersons Marathon Ethanol LLC. A copy of this press release is attached as exhibit 99.
