Item 8.01 Other Events.

On September 10, 2008, Popular, Inc. (the "Registrant") issued $250 million of its Floating Rate Notes due 2011 in a private offering to certain institutional investors pursuant to Rule 144A under the Securities Act of 1933. The Floating Rate Notes bear interest at a rate of LIBOR plus 3.25% (or 6.06688% for the initial quarterly period) and mature on September 12, 2011. The interest rate on the Floating Rate Notes is subject to adjustment based on changes in the senior debt rating of Popular, Inc. and the holders of Floating Rate Notes have the right to require the Registrant to purchase the Floating Rate Notes on each quarterly interest payment date beginning on March 2010. A copy of the Supplemental Indenture with respect to the Floating Rate Notes is attached to this Form 8-K as Exhibit 99.1
