The registrant could not provide the information for the referenced Form 10-K for the period ending December 31, 2005 without unreasonable effort or expense by the filing deadline. The work required to secure the “consent” of the Registrant’s prior auditors relative to the 2003 audited financial statements proved to be more extensive than anticipated necessitating an extra day in the process of completing the Registrant’s Form 10-K for 2005.
