Item 8.01 Other Events

On March 15, 2019, NextEra Energy Capital Holdings, Inc., a wholly-owned subsidiary of NextEra Energy, Inc. (NEE), sold $687.5 million principal amount of its Series N Junior Subordinated Debentures due March 1, 2079 (Debentures). The Debentures will bear interest at 5.65% per year, payable quarterly. The Debentures are unconditionally and irrevocably guaranteed on a subordinated basis by NEE. The Debentures were registered under the Securities Act of 1933 pursuant to Registration Statement Nos. 333-226056, 333-226056-01 and 333-226056-02. This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the sale of the Debentures.
