Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

                    On January 17, 2005, the Board of Directors of Chemical Financial Corporation (the "Company") appointed Gary E. Anderson as a director of the Company. Mr. Anderson is Chairman of the Board of Dow Corning Corporation. Mr. Anderson has worked with Dow Corning Corporation since 1967 and has served Dow Corning Corporation in various executive capacities for over 25 years. Before his appointment, Mr. Anderson served as a director of Chemical Bank and Trust Company, a subsidiary of the Company, since January 2001. Mr. Anderson was appointed to the following standing committees of the Board of Directors of the Company: the Audit Committee; the Compensation Committee; the Pension Committee; and the Investment Committee.
