5.02 Departure of Directors or Certain Officers
On March 22, 2010, Jeffrey L.
Obermayer, Vice President and Controller of BorgWarner Inc. (the “Company”),
resigned his positions with the Company, effective April 1, 2010, in order to
pursue another opportunity.
Effective April 1, 2010, Ronald T.
Hundzinski will assume the position of the Company’s Vice President and
Controller (Principal Accounting Officer).
