Item 8.01. Other Events.
In connection with a review of its executive compensation practices, A.C. Moore Arts & Crafts,
Inc. has determined that, effective immediately, it will not enter into any agreements with any new
executives or material amendments to existing agreements providing for excise tax gross-up
provisions with respect to payments contingent upon a change in control.
