EXPLANATORY NOTE
     This Post-Effective Amendment No. 1 (“Post-Effective Amendment”), filed by CNA Surety Corporation, a Delaware corporation (the “Registrant”), removes from registration all shares of the Registrant’s common stock, par value $0.01 per share (“Common Stock”), registered under the Registration Statement on Form S-8 (File Number 333-64135) filed by the Registrant on September 24, 1998 (the “Registration Statement”) with the Securities and Exchange Commission pertaining to the registration of shares of Common Stock relating to the CNA Surety Corporation Non-Employee Directors Deferred Compensation Plans.
     On June 10, 2011, Surety Acquisition Corporation, a Delaware corporation (“Merger Sub”) and the owner of more than 90% of the outstanding shares of Common Stock, merged with and into the Registrant (the “Merger”) pursuant to the short form merger provisions of Section 253 of the General Corporation Law of the State of Delaware, with the Registrant as the surviving corporation. As a result of the Merger, the Registrant became a wholly owned indirect subsidiary of CNA Financial Corporation, a Delaware corporation.
     As a result of the Merger, the Registrant has terminated all offerings of its Common Stock pursuant to the Registration Statement. In accordance with an undertaking made by the Registrant in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities that had been registered for issuance that remain unsold at the termination of the offering, the Registrant hereby removes from registration the 146,032 shares of Common Stock registered but unsold under the Registration Statement.
