Item 2.02 Results of Operations and Financial Condition.

     On July 21, 2005, Fidelity Southern Corporation issued a press release announcing its results of operations and financial condition for the quarter ended June 30, 2005. A copy of this press release is furnished as Exhibit 99.1 hereto and incorporated by reference herein.
