Item 1.01.   Entry into a Material Definitive Agreement.
     On February 24, 2006, the Board of Directors (the “Board”) of Thoratec Corporation (the “Company”), upon the recommendation of the Compensation and Option Committee of the Board, approved revised compensation for directors’ service on the Board and each of its committees. Each director will receive a $25,000 annual retainer and $1,500 for each quarter where there are one or more Board meetings attended by the director. Each member of the Audit Committee will receive a $1,000 annual retainer and $1,500 for each quarter where one or more Audit Committee meetings are attended by a committee member. Each member of the Compensation and Option Committee and the Nominating and Corporate Governance Committee will receive a $1,000 annual retainer and $1,000 for each quarter where one or more Compensation and Option Committee meetings or Nominating and Corporate Governance Committee meetings, respectively, are attended by a committee member. In addition to the annual Board retainer, the Chairman of the Board will receive an additional $15,000 annual retainer. In lieu of the annual Audit Committee retainer, the Chairman of the Audit Committee will receive a $15,000 annual retainer, in lieu of the annual Compensation and Option Committee retainer, the Chairman of the Compensation and Option Committee will receive a $10,000 annual retainer, and in lieu of the Nominating and Corporate Governance Committee retainer, the Chairman of the Nominating and Corporate Governance Committee will receive a $5,000 annual retainer.
