HSR ANNOUNCEMENT TO COVANCE EMPLOYEES

Dear Colleagues:

As you may have seen, we recently announced a key update on the progress toward completing our proposed combination with LabCorp.  We announced that the required Hart-Scott-Rodino (HSR) waiting period for the transaction has expired, which satisfies one of the important conditions necessary for the consummation of the merger.

The proposed merger remains subject to approval by the stockholders of Covance, as well as other customary closing conditions, and we are on track to complete the pending combination in the first quarter of 2015.

It is important to remember that this merger is about growth and innovation.  Our joint integration planning team remains hard at work, and we believe we will all benefit from working for a larger and more diversified global company. However, until the close of the transaction, we continue to operate as an independent company.  It is business as usual as we continue to deliver operational and service excellence that exceeds the expectations of our clients.
