Item 8.01. Other Events.
As previously disclosed, GAMCO Investors, Inc. ("GAMCO") accelerated the vesting of the seventy percent (70%) tranche of the restricted stock awarded on December 7, 2007 ("2007 RSAs") to December 7, 2010. Currently 315,600 of the 2007 RSAs are outstanding. To the extent that all of the 2007 RSAs vest on December 7, 2010, approximately 109,000 shares will be surrendered by employees to satisfy income and payroll taxes, and 94,000 shares will be purchased by GAMCO from employees during December 2010.
