Item 8.01  Other Events. 

The Company timely submitted its annual certification by the Chief Executive Officer to the New York Stock Exchange within 30 days of its Annual Meeting of Shareholders in 2005. The certification stated the Company’s compliance with the New York Stock Exchange’s corporate governance listing standards without qualification. This information was inadvertently omitted from the Company’s Fiscal Year 2005 Annual Report to Shareholders. The Company also timely submitted its annual certification by the Chief Executive Officer to the New York Stock Exchange within 30 days after its Annual Meeting of Shareholders in 2006. Disclosure with respect to this certification will be made by the Company in the Company’s Fiscal 2006 Annual Report to Shareholders. Disclosure of filings of such certifications will be made in the Company’s annual report to shareholders in future years, to the extent required.
