The Company could not complete the consolidating and consolidated financial
statements without unreasonable effort and expense.

Preliminary results of operations for the three and six months months ended
March 31, 2003 reflect a net loss of approximately $400,000 and $395,000,
respectively, compared to net income of $27,000 and $53,000, respectively, for
the three and six months months ended March 31, 2002. These results are subject
to further review and adjustment.
