Item  8.01.                                       Other Events.

 

On October 26, 2009, Penn National Gaming, Inc. announced that it has called for redemption of all the $105,536,000 outstanding aggregate principal amount of its 67/8% Senior Subordinated Notes due 2011. The redemption price is $1,000 per $1,000 principal amount of notes, plus accrued and unpaid interest to the scheduled redemption date, which is December 1, 2009.  A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated herein by this reference.
