Item 1.01 Entry into a Material Definitive Agreement.
On April 12, 2012, Pacira Pharmaceuticals, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with the several Underwriters named in the Underwriting Agreement (the Underwriters) for which Jefferies & Company, Inc. and Barclays Capital Inc. are acting as representatives, relating to an underwritten public offering of 6,000,000 shares (the Shares) of the Companys common stock, par value $0.001 per share (the Common Stock). All of the shares are being sold by the Company. The offering price to the public is $9.75 per share, and the Underwriters have agreed to purchase the Shares from the Company pursuant to the Underwriting Agreement at a price of $9.165 per share. After underwriting discounts and commissions and estimated offering expenses, the Company expects to receive net proceeds of approximately $54.6 million. Under the terms of the Underwriting Agreement, the Company has granted the Underwriters an option, exercisable for 30 days, to purchase up to an additional 900,000 shares of Common Stock to cover over-allotments, if any, at the same price.
The Shares will be issued pursuant to a shelf registration statement the Company filed with the Securities and Exchange Commission, which became effective on April 5, 2012 (File No. 333-180384). A prospectus supplement relating to the offering has been filed with the Securities and Exchange Commission. The closing of the offering is expected to take place on April 17, 2012, subject to the satisfaction of customary closing conditions.
