Item 5.02.              Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 16, 2014, Penn National Gaming, Inc. (the “Company”) announced the promotion of Carl Sottosanti to the position of Senior Vice President and General Counsel, effective February 1, 2014, subject to customary regulatory approvals.  Mr. Sottosanti succeeds Jordan B. Savitch, who served as Senior Vice President and General Counsel of the Company since 2002 and is resigning his position, effective January 31, 2014, to spend more time with his family.  The Company’s press release dated January 16, 2014 announcing the promotion of Mr. Sottosanti and resignation of Mr. Savitch as described above is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
