Item 8.01 Other Events.
Pursuant to the Agreement and Plan of Merger dated as of June 3, 2014 by and between Protective Life Corporation, a Delaware corporation (the Company), The Dai-ichi Life Insurance Company, Limited, a kabushiki kaisha organized under the laws of Japan (Dai-ichi Life) and DL Investment (Delaware), Inc., a Delaware corporation and wholly-owned subsidiary of Dai-ichi Life, the Company has informed Dai-ichi Life that during the post-signing solicitation period (which ended at 5:00 p.m., New York City time, on June 29, 2014), Morgan Stanley contacted a total of 29 potential acquirers on behalf of the Company to solicit interest in a possible alternative transaction and none of such parties expressed an interest in pursuing a transaction or executed a confidentiality agreement.
