Item 8.01.                                        Other Events.

 

On November 3, 2015, CF Industries Holdings, Inc. (the “Company”) and OCI N.V. (“OCI”) announced the expiration of the waiting period mandated for United States government antitrust review of proposed transactions under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 in connection with the previously announced combination of the Company with OCI’s European, North American and global distribution businesses. The press release is attached hereto as Exhibit 99.1.
