Item 8.01                                           Other Events.

 

On November 20, 2017, Royal Caribbean Cruises Ltd. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”), as supplemented by a terms agreement dated November 20, 2017 (the “Terms Agreement”), with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, BNP Paribas Securities Corp., Goldman Sachs & Co. LLC, Mizuho Securities USA LLC and SMBC Nikko Securities America, Inc., acting as representatives of the underwriters named in the Terms Agreement (the “Underwriters”) in connection with the proposed offer and sale by the Company of senior unsecured notes in an aggregate principal amount of $800,000,000. The Underwriting Agreement contains representations by the Company and indemnification on certain matters in favor of the Underwriters.

 

A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Form 8-K and is incorporated herein by reference.
