Item 1.02 Termination of a Material Definitive Agreement.

 

On May 26, 2015, the Federal Reserve Board (the “Federal Reserve”) announced that on May 21, 2015, it had terminated the Consent Order relating to Meta Financial Group, Inc. (the “Registrant”). The Consent Order was originally issued in July 2011 by the Office of Thrift Supervision.

The Registrant’s primary subsidiary, MetaBank, was released by the Office of the Comptroller of the Currency from its Consent Order on August 7, 2014.
