Item 2.02 Results of Operations and Financial Condition.

On November 4, 2010, Gastar Exploration Ltd. (the “Company”) issued a press release announcing the Company’s financial results for the three and nine months ended September 30, 2010.  A copy of the Company’s press release, dated November 4, 2010, is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
