(d) As contemplated by the Form 8-K of BJ's Restaurants, Inc. (the "Company") filed with the Securities and Exchange Commission on October 29, 2012, effective December 3, 2012, Gregory Trojan, the Company's President, was appointed to serve as a member of the Board of Directors of the Company.
